1. Definitions
In these terms, the following expressions carry the meanings set out below:
- "Bayu Strategi", "we", "us", "our" — refers to Bayu Strategi, a business advisory firm registered in Malaysia, with its principal place of business at Lot 24-3, Menara Permata, Jalan Ampang, 50450 Kuala Lumpur.
- "Client", "you", "your" — refers to any individual or organisation that submits an enquiry through this website or enters into an advisory engagement with Bayu Strategi.
- "Services" — refers to the advisory and consulting services offered by Bayu Strategi, including but not limited to Strategic Direction Review, Family Business Succession Planning, and Operating Model & Organisational Design engagements.
- "Engagement" — a formal arrangement between Bayu Strategi and a client, confirmed by a written scope document or letter of engagement.
- "Deliverables" — written documents, frameworks, and reports produced by Bayu Strategi in the course of an engagement.
- "Website" — this website at bayuastra.live and any subpages associated with it.
2. Acceptance of Terms
By submitting an enquiry through this website or by entering into an engagement with Bayu Strategi, you confirm that you have read, understood, and agreed to be bound by these terms. If you are acting on behalf of an organisation, you confirm that you have authority to bind that organisation.
Use of this website is open to individuals aged 18 and above who have legal capacity to enter into a binding agreement under Malaysian law. If you do not agree with these terms, you should not proceed with an enquiry or engagement.
3. Services Described
Bayu Strategi offers business advisory services to owner-led and family-held businesses primarily in Malaysia. The three principal service engagements are described on this website and are subject to availability. Service descriptions are provided for general information; the precise scope of any engagement is agreed in writing before work begins.
We do not offer legal, accounting, or financial product advice. Our work is advisory in nature: we support leadership teams in thinking through their options, clarifying structure, and considering the direction of their business. Decisions remain with the client at all times.
4. Engagement Conduct
Each engagement is governed by a written scope document or letter of engagement agreed between the parties before work begins. That document will set out the scope, timing, deliverables, and fees specific to the engagement. In the event of any inconsistency between these general terms and the specific engagement document, the engagement document takes precedence.
Bayu Strategi will conduct all engagements with reasonable care and professional diligence. We will assign senior advisors to your engagement and keep you informed of progress throughout.
5. Client Responsibilities
The quality of advisory work depends in part on the information and access provided by the client. You agree to:
- Provide accurate and complete information relevant to the engagement scope
- Make key personnel available for sessions as agreed
- Notify us promptly of any material change to the circumstances underpinning the engagement
- Settle invoices by the dates agreed
You agree not to use this website, or any communication with Bayu Strategi, for any unlawful purpose or in a manner that could cause harm to others.
6. Intellectual Property
All content on this website — including text, design, and structural elements — is the property of Bayu Strategi and is protected under applicable Malaysian intellectual property law. Nothing on this website grants you a licence to reproduce or repurpose website content without our written consent.
Deliverables produced during a formal engagement are provided to the client for their internal business use. Unless the engagement document states otherwise, ownership of deliverables transfers to the client upon full settlement of the associated fees. Bayu Strategi retains the right to use anonymised and aggregated insights from engagements for the purpose of developing its advisory practice.
7. Payment Terms
Fees for each engagement are set out in the relevant engagement document. Fees are quoted in Malaysian Ringgit (RM) and are exclusive of any applicable taxes unless stated otherwise.
Payment schedules are agreed at the time of engagement. Invoices are payable within 14 days of the invoice date unless a different arrangement has been agreed in writing. Where a deposit is required, work will begin once the deposit has cleared.
If a client wishes to reduce the scope of an engagement after work has begun, any fees already incurred up to that point remain payable. Fees for completed milestones are not refundable. Where an engagement is terminated by mutual agreement, we will work with you to determine a fair settlement for work completed.
8. Confidentiality
Bayu Strategi treats all information shared during an engagement as confidential. We will not disclose client information to third parties except where required by law or where disclosure is necessary to deliver the agreed services (for example, to a specialist sub-adviser engaged with your knowledge).
Where an engagement involves sensitive family or governance matters, we take particular care to handle such information with discretion. We are willing to enter into a formal non-disclosure agreement if requested.
9. Disclaimers
The information on this website is provided for general purposes only and does not constitute professional advice. Bayu Strategi makes no representation about the fitness of website content for any particular purpose.
Advisory services are based on the information available at the time of the engagement. Business outcomes depend on many factors beyond our control, including market conditions, management decisions, and external events. We cannot and do not warrant any particular result from an advisory engagement.
This website may contain links to third-party websites. We are not responsible for the content, accuracy, or policies of those sites.
10. Limitation of Liability
To the extent permitted by Malaysian law, Bayu Strategi's total liability to a client arising from any single engagement — whether in contract, tort, or otherwise — shall not exceed the fees paid by the client for that engagement.
We shall not be liable for indirect, consequential, or incidental loss, including loss of profit, loss of opportunity, or reputational damage, even if we have been advised of the possibility of such loss.
Nothing in these terms excludes liability for fraud or for death or personal injury caused by negligence.
11. Termination
Either party may terminate an engagement by giving written notice if the other party is in material breach of its obligations and fails to remedy that breach within 14 days of written notice.
Upon termination, all amounts owing for work completed to that point become immediately payable. Confidentiality obligations survive termination and continue in effect indefinitely. Any licence granted to the client over deliverables is conditional on full settlement of fees.
12. Dispute Resolution
These terms are governed by the laws of Malaysia. Any dispute arising from or in connection with an engagement will first be referred to senior representatives of both parties for good-faith discussion. If the dispute cannot be resolved informally within 30 days, either party may refer it to mediation administered by the Asian International Arbitration Centre (AIAC) in Kuala Lumpur, before resorting to litigation.
The courts of Malaysia shall have exclusive jurisdiction to settle any dispute not resolved by mediation.
13. General Provisions
These terms, together with any engagement document, constitute the entire agreement between the parties in relation to the subject matter and supersede all prior representations and agreements.
If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force. A failure to enforce any provision at any time does not constitute a waiver of that provision. Neither party may assign its rights or obligations without the written consent of the other.
Notices under these terms may be sent by email to the addresses set out in the engagement document, and will be deemed received on the next working day after sending.
14. Changes to These Terms
We may revise these terms from time to time. The current version is always available at this page. Changes take effect when the revised version is posted. Continued use of this website or any ongoing engagement following a change constitutes acceptance of the updated terms. Where a change materially affects the terms of an active engagement, we will give you reasonable notice before the change applies.
